A safer way to complete important transactions
When a transaction requires one party to pay before the other has fully performed, neither party should have to take unnecessary payment risk.
SRJ Legal provides independent escrow and transaction administration services for businesses, institutions and individuals. We receive and hold funds under agreed escrow terms and release them only in accordance with the parties’ documented instructions and agreed release conditions.
Our escrow services are administered by legal practitioners and supported by appropriate client-verification, transaction documentation and compliance procedures.
Why use SRJ Escrow?
An escrow arrangement can help parties complete a transaction where payment and performance cannot conveniently happen at the same time.
SRJ can provide an independent framework for receiving funds, documenting the conditions for release, verifying satisfaction of agreed conditions and releasing or returning funds in accordance with the escrow agreement.
Our service may include:
- Naira and approved foreign-currency transactions, subject to applicable banking and compliance requirements;
- tailored escrow agreements and release conditions;
- transaction and counterparty verification;
- controlled receipt and release of funds;
- transaction records and account reporting; and
- coordination with the parties’ lawyers, advisers and transaction teams.
Transactions We Support
We provide escrow and transaction-administration support for:
- commercial transactions;
- real estate and asset transactions;
- business acquisitions and disposals;
- settlement and negotiated payment arrangements;
- milestone and performance-based payments;
- cross-border transactions;
- software and source-code arrangements; and
- other transactions requiring an independent payment or document-holding arrangement.
How SRJ Escrow Works
1. Tell us about the transaction.
We obtain the information required to understand the transaction, parties, amount and proposed release conditions.
2. Verification and onboarding.
We conduct applicable client, counterparty and transaction checks and confirm whether SRJ can accept the engagement.
3. Agree the escrow terms.
The parties execute an escrow agreement setting out what SRJ will hold, the conditions for release and what happens if the transaction does not complete.
4. Fund the escrow.
Funds are received in accordance with the agreed arrangement and applicable banking requirements.
5. Release or return.
SRJ acts on the agreed release conditions and documented instructions. Funds are not released merely because one party requests payment where the escrow agreement requires otherwise.
Independent Administration. Clear Conditions. Documented Release.
Our role is not to guarantee that a transaction will succeed. It is to provide an independent and documented framework within which funds or documents can be administered according to agreed conditions.
We can also work with the parties’ existing lawyers, accountants, financial advisers and transaction teams.
